Terms & Conditions - Purchase of Goods

1. Definitions

 “Seller” refers to Bridger Creek, LLC, the supplier of pallets.
 “Buyer” refers to the company or individual purchasing pallets from Bridger Creek LLC.
 “Goods” refers to the pallets and any related products sold by Bridger Creek LLC.
“Agreement” refers to these Terms and Conditions of Sale.

2. Acceptance of Orders

 All sales are subject to acceptance by Bridger Creek, LLC.
 These Terms and Conditions shall govern the sale unless otherwise agreed to inwriting by Seller.
Any additional or conflicting terms provided by Buyer must be agreed upon by Seller.

3. Pricing and Payment

 Prices quoted are valid for 30 days unless otherwise specified in writing.
 Standard payment terms are Net 30 days from date of invoice.
 Late payments may be subject to a 1.5% monthly finance charge or the maximum allowed by law.
 Buyer is responsible for all applicable taxes, unless a valid exemption certificate is provided.

4. Delivery and Risk of Loss

 Bridger Creek, LLC is not liable for delays beyond its control.
 Unless otherwise agreed, risk of loss transfers to Buyer upon delivery to the designated location or carrier.
Delivery dates are estimates only and not guaranteed.

5. Freight and Shipping

 Freight charges are included in the pallet price unless otherwise agreed upon.
 Additional charges may apply for special handling or delivery services (e.g., liftgate, limited access).

7. Returns and Cancellations

 Returns require prior authorization from Bridger Creek, LLC.
 Custom or special-order pallets are non-returnable.
 Canceled orders may be subject to restocking or cancellation fees, particularly if production has begun.

8. Warranties and Liability

 Bridger Creek, LLC warrants that pallets sold will conform to the agreed specifications and will be free from material defects at the time of delivery.
 No other warranties, express or implied (including merchantability or fitness for particular purpose), are made. Bridger Creek, LLC liability is limited to the repair, replacement, or refund of the defective goods, at Bridger Creek, LLC’s sole discretion.
 Under no circumstances shall Bridger Creek, LLC be liable for consequential, incidental, or indirect damages.

9. Force Majeure

Bridger Creek, LLC shall not be held liable for delays or failure to perform due to causes
beyond its reasonable control, including natural disasters, labor disputes, transportation shortages, or government actions.

10. Title and Ownership

 Title to goods passes to Buyer upon delivery, provided payment has been made in full

11. Compliance and Use

 Buyer agrees to use the pallets in compliance with all applicable laws and regulations.
 Buyer is responsible for determining the suitability of the pallets for their intended use.

12. Indemnification

Buyer agrees to indemnify and hold harmless Bridger Creek, LLC from any claims, damages, or losses resulting from Buyer’s misuse of the goods or breach of these terms.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Pennsylvania without regard to conflict of law principles.

14. Reselling Pallets

Bridger Creek, LLC shall not be liable for any claims arising from the resale or distribution of goods by Buyer to third parties

15. Entire Agreement

These Terms and Conditions along with any applicable invoice or sales agreement, constitute the entire agreement between the parties and supersede any prior agreements or understandings.
